Unless otherwise agreed in writing, the “Client” and “binmada” agree as follows:

binmada is the owner of any and all intellectual property (including copyright, trademarks) associated with the image/s and video/s produced (Product) and that nothing contained in this arrangement shall impact and/or transfer ownership of the Product.

binmada grants the “Client”, for a period unceasing from the date of the creation of the Product, a non-exclusive licence to use and/or reproduce all or part of the Product (Licence) on the following conditions:

Permitted use:
The “Client” can use and/or reproduce all or part of the Product on the internet and in other “Client” publications, solely for the direct promotion of the “Client’s” business.

Unauthorised use:
Unless otherwise agreed by binmada in writing and subject to any stated conditions imposed by binmada, the Licence
(i) is personal to the “Client” (ie/ the Product shall not be used/reproduced by a third party) and
(ii) The “Client” shall not use the Product to directly receive remuneration from and/or profit from the Licence and/or Product. This includes any Sale/Sub-licence or attempted Sale/Sub-licence of the Product.

Usage Rights

Licence usage rights are transferred upon full payment of this invoice. Failure to make payments voids any licence granted and constitutes copyright infringement.
